1. Acceptance of Terms

By engaging IWeTechs ("Company", "we", "us", "our") for any services, including but not limited to Android app development, iOS app development, website development, and mobile game development ("Services"), you ("Client", "you") agree to be bound by the following Terms of Service ("Terms").

2. Services

We agree to provide the Services as described in the project proposal or scope of work document agreed upon by both parties. Any changes or additions to the scope of work must be agreed upon in writing (e.g., via a Change Order) and may incur additional fees.

3. Payment Terms

The Client agrees to pay the fees as outlined in the project proposal or invoice. Our payment terms are as follows:

• Quotes & Proposals: All quotes are valid for 30 days from the date of issue.
• Upfront Deposit: A non-refundable deposit (typically 30-50% of the total project cost) is required before any work commences. This secures your project in our schedule.
• Milestone Payments: For larger projects, a payment schedule will be tied to specific project milestones (e.g., completion of design, first build, final delivery). These milestones and their corresponding payments will be outlined in your project proposal.
• Final Payment: The remaining balance is due upon completion of the project, prior to the final delivery of source code or deployment to live servers or app stores.
• Payment Methods: We accept payments via bank transfer (NEFT/RTGS/IMPS) and other methods as specified on our invoice. All payments must be made in the currency specified on the invoice.
• Late Payments: Invoices are due upon receipt (or as specified, e.g., Net 15). A late fee of 1.5% per month (or the maximum rate permitted by law) may be applied to all overdue balances. We reserve the right to suspend all work on the project and withhold delivery of files if payments are not made on time.

4. Intellectual Property

Upon receipt of full and final payment, IWeTechs grants to the Client all rights, title, and interest in the final, delivered source code and visual designs created specifically for the project. We retain the right to use non-confidential elements of the project (such as screenshots, general descriptions, and a link to the live app/site) for our portfolio and marketing materials unless otherwise agreed upon in writing.

5. Confidentiality

Both parties agree to treat all information shared during the project as confidential. This includes, but is not limited to, business strategies, trade secrets, client lists, and other proprietary information. This obligation of confidentiality will survive the termination of our engagement.

6. Termination

Either party may terminate the project by providing 30 days' written notice. If the Client terminates the agreement for any reason other than a material breach by IWeTechs, the Client agrees to pay for all work completed up to the date of termination, plus any outstanding expenses. All deposits are non-refundable.

7. Limitation of Liability

In no event shall IWeTechs be liable for any lost profits or any indirect, special, incidental, or consequential damages arising out of or in connection with our Services or this agreement, even if advised of the possibility of such damages. Our total liability to you for any and all claims shall not exceed the total amount of fees paid by you to us under the applicable project proposal.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The parties agree to submit to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, for the resolution of any disputes.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify clients of any significant changes. Continued use of our Services after such changes constitutes your acceptance of the new Terms.
